TERMS OF SERVICE (EchoHub)

1. Who We Are

EchoHub is an online software platform that enables users to generate, organize, and schedule social media content using AI tools, third-party integrations, and automation features.

2. Eligibility

You must be 16 years or older to use EchoHub. By using the Service, you represent that you:

• Are at least 16 years of age.
• Have the power to enter into a binding agreement.

If you are under 18, you must have parental/guardian consent where required by law.

3. User Accounts

To use most features, you must create an account. You agree to:

• Provide accurate information
• Keep login credentials secure
• Not impersonate others
• Not share your account

You are responsible for all activity under your account.

4. Subscription & Billing

EchoHub offers subscription plans. By subscribing, you authorize:

• Recurring charges via Stripe
• Cancellation at any time (no refunds unless legally required)

We may update pricing with prior notice. Taxes may apply based on your jurisdiction.

5. User Content & Licensing

EchoHub allows you to upload and generate content (photos, videos, scripts, captions, etc.) collectively called "User Content."

You retain ownership of your content. However, you grant Synthetic Echo a worldwide, non-exclusive, royalty-free license to use your User Content for the following purposes only:

• A) Product improvement
• B) Marketing/showcasing (e.g., examples, case studies)
• C) AI training
• D) Internal testing and quality assurance

This license ends when your content is deleted, except where retention is required by law or Section 6 below.

You represent that your content does not infringe on others' rights.

6. Data Retention & Deletion

Upon account closure, we will delete personal data except:

• Billing and audit logs required for legal compliance
• Data used for aggregate analytics (non-identifiable)

7. Acceptable Use

You agree not to:

• Violate laws or regulations
• Upload malware or harmful code
• Attempt to reverse-engineer the platform
• Abuse APIs or integrations
• Upload illegal, defamatory, or harmful content

We reserve the right to suspend accounts violating this section.

8. Third-Party Services

EchoHub integrates with third-party services including:

• Metricool
• Stripe
• HeyGen
• Sora
• CapCut
• Captions
• VidIQ
• Analytics platforms
• AI APIs (e.g., OpenAI, Anthropic)

Your use of those services is governed by their own policies. We do not control or guarantee third-party performance.

9. AI-Generated Content

EchoHub uses artificial intelligence to generate content. You understand that:

• AI output may be inaccurate or incomplete
• You are responsible for reviewing AI output before use
• We are not liable for harm caused by reliance on AI output

10. Intellectual Property

All Service-related materials (software, UI, code, branding, etc.) are owned by Synthetic Echo. You may not copy, reproduce, or modify without permission.

11. Disclaimers

The Service is provided "as-is" and "as-available" without warranties of any kind. We do not guarantee uptime, accuracy, or completeness.

12. Limitation of Liability

To the fullest extent permitted by law, Synthetic Echo shall not be liable for:

• Loss of profits
• Loss of data
• Business interruption
• Damages arising from use or inability to use the Service

Total liability shall not exceed the amount paid in the last 12 months.

Some jurisdictions do not allow limitation clauses; certain rights may still apply to you.

13. Indemnification

You agree to indemnify and hold harmless Synthetic Echo from claims arising out of your misuse of the Service or violation of these Terms.

14. Termination

We may suspend or terminate accounts that violate these Terms or pose risks to the platform.

Users may terminate at any time via account settings or by contacting support.

15. Privacy

Our Privacy Policy governs how we collect, use, and process personal data. By using EchoHub, you agree to that policy.

16. Governing Law

These Terms are governed by the laws of Ontario, Canada, without regard to conflict of law rules.

You agree to resolve disputes through binding arbitration or provincial courts in Ontario unless prohibited by law.

17. GDPR & CCPA Notices

For EU residents: You have rights under GDPR (access, correction, deletion, portability).

For California residents: You have rights under CCPA (access, deletion, non-discrimination).

18. Changes to Terms

We may update these Terms occasionally. If changes are material, we will notify you through email or in-app. Continued use constitutes acceptance.
